Seller terms for brand listings
Last updated: 1 November 2026 · version seller-terms-2026-11-01-renewal
These terms apply when you list a competition brand, business or its assets (“the brand”) for sale in the marketplace on competitionbrands.co.uk (“the site”). The site is operated by RCommerce (“we”, “us”). By submitting a listing you agree to them.
1. Our role
We are a broker and intermediary only. We introduce buyers and sellers and pass on offers. We are not the seller, not the buyer and not a party to any sale agreement between you and a buyer. We don't own, hold or value the brand, and we don't hold any money: payments go through Escrow.com.
2. Listing fee
To list a brand you choose a plan and pay a one-time listing fee by card when you submit it: Basic £25 (listed in Brands for sale after our review, until sold or for 6 months) or Featured £99 (everything in Basic, plus pinned at the top of Brands for sale and a highlighted card for 30 days from publication, one mention in our weekly newsletter, and the marketplace block on the home page). No VAT is charged.
- We review every listing before it is published and may ask you for more information.
- If we decline your listing before publishing it, we refund the listing fee in full.
- Once your listing is published, the listing fee is non-refundable, including if you sell elsewhere, withdraw the listing or we remove it because of a breach of these terms.
- The listing fee pays for the listing only. It doesn't guarantee a sale, an offer, any number of visitors or a price.
- A listing runs until it is sold, withdrawn or removed, or for 6 months from publication, whichever is first.
2a. Renewal
You can renew a published listing for another 6 months for a one-time fee of £25, paid by card. No VAT is charged. We email you a renewal link about 14 days before your listing ends and again when it ends, to the email address you listed with; you don't have to renew, and if you don't, the listing comes down on its end date and nothing else is charged.
- The 6 months are added to the current end date, or run from the day you pay if the listing has already ended. A listing can be renewed up to 30 days after it ends; after that, list it again.
- A renewal doesn't include a Featured pin or newsletter mention.
- The renewal fee is non-refundable once your listing has been extended, and it doesn't guarantee a sale, offers or visitors. If we can't extend the listing (for example because it was removed), we refund the renewal fee in full.
- Renewing doesn't change the success fee (section 3) or these terms.
3. Success fee
The success fee is separate from the listing fee and unchanged by your plan. If the brand is sold to a buyer introduced through the site, you (the seller) pay a success fee of 4% of the total sale price, with a minimum of £99. The fee is deducted by Escrow.com from the sale proceeds when the transaction completes and paid to us as broker commission. The buyer pays the Escrow.com fee. The fee is due on the total price paid for the brand and anything sold with it, including any part paid later or in instalments. No VAT is charged on the fee.
4. Completing through Escrow.com
A sale to a buyer who found the brand or contacted you through the site must be completed through an Escrow.com transaction started from the site, with us as broker. Escrow.com's own terms apply to that transaction. You agree that Escrow.com may show you and the buyer each other's details as its process requires.
Escrow.com will email you to agree to the transaction. You agree to it, complete Escrow.com's verification and payout details yourself, and, once Escrow.com confirms it holds the buyer's payment, you hand over the brand and assets and mark the handover as shipped/transferred in your own Escrow.com account. We are the broker only and cannot take these steps for you. Don't hand anything over before Escrow.com confirms the payment is secured.
5. Non-circumvention
If, within 12 months of an introduction, you sell the brand (or any substantial part of it, or the company that owns it) to a buyer we introduced, or to anyone connected with them, without completing through the site, the success fee (4%, minimum £99) is still due. We will invoice it, and it is payable within 14 days of the invoice. A buyer counts as introduced if they made an offer, enquiry or Buy now through the site, or we passed on their details or yours.
6. Your declarations
By listing you confirm, and must keep true until completion, that:
- you own the brand, or are authorised by its owner to sell it, and you're 18 or over;
- you have disclosed every live competition and the number of tickets sold, and you will either complete all draws before handover or have the buyer take them over in writing, including the obligation to run the draws, award the prizes and honour entrants' rights (including the free entry route);
- you have disclosed whether the business has signed the DCMS Voluntary Code of Good Practice for Prize Draw Operators and any Gambling Commission licence it holds;
- there are no undisclosed liabilities, such as debts, refunds, chargebacks, disputes, unpaid prizes, or tax or regulatory issues;
- everything in the listing, including revenue, profit and list sizes, is accurate and not misleading, and any personal data (such as an email list) can lawfully be transferred to a buyer.
7. No verification, no warranties
We do not verify listings, revenue, profit, traffic, accounts, ownership, compliance or anything else a seller tells us, and we give no warranties about any brand, seller or buyer. Revenue and profit are shown as self-reported and unverified. Buyers must do their own due diligence and take their own advice. We are not responsible for whether a sale goes ahead or for anything a buyer or seller does.
8. Your contact details and offers
Your name and email are not shown on the site. Offers and enquiries come to us and we pass them on. We introduce you and the buyer once a deal is agreed and proceeds through Escrow.com.
9. Refusing or removing listings
We may refuse, edit for format, pause or remove any listing at any time, for example if information is missing or looks inaccurate, if the business doesn't appear to run fair prize competitions with a free entry route and 18+ checks, or if a seller breaches these terms. You can ask us to remove your listing at any time by emailing [email protected]. Removing a listing doesn't cancel a fee already due under sections 3 or 5. If we remove a published listing, the listing fee is not refunded (section 2).
10. Announcements
We will only announce a sale (for example on the site, in our newsletter or on social media) with the consent of both the seller and the buyer.
11. Disputes
Disputes about funds held in an Escrow.com transaction are handled by Escrow.com under its terms. We are not a party to them. Any dispute between you and us about these terms or the fee is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
12. Changes
We may update these terms. The version you agreed to when listing applies to that listing; we'll tell you by email about changes that affect a live listing.
13. Not advice
We're not lawyers or accountants. Nothing on the site is legal, tax, financial or valuation advice. Take your own professional advice before selling or buying a business.
